ARTICLE I - Name and Object 

1.    The name of this organization shall be the Cassina Garden Club, Inc.

2.    The preservation, maintenance and beautification of the historic clubhouses and grounds are the major priority of the Club.  Also, to promote the love of gardening; to protect our native trees, wildflowers and birds; to encourage civic beauty and planting and all worthwhile out-of-door work.

ARTICLE II – Membership

1.    ACTIVE: An active member shall be a permanent resident of St. Simons Island or Sea Island interested in gardening and related subjects. To maintain active standing, she shall be required to attend meetings regularly, actively participate on a committee and financially support the Club’s annual fundraiser. Maximum active membership shall be limited to 90, associate and life members are not included in this count.

2.    ASSOCIATE: An associate member shall be one who desires to give her patronage and support to the club but cannot participate to the extent required for active standing.  She shall pay annual dues as set for that category.   Due to confines of space, no associate members or guests may attend meetings held in the cabins.  Associate members are encouraged to attend all other meetings.              

3.    LIFE: A life member shall have been an active member in good standing for twenty-five years.  Her participation is optional.

ARTICLE III - Application and Approval of Members

1.    Proposals for membership shall be made on a form furnished by the Membership Chairman.  Applicants shall be sponsored by one active member and endorsed by another. Those applying shall have attended at least two open meetings of the garden club prior to recommendation for approval. Both sponsor and endorser shall have known the candidate for at least one year. 

Members may propose or endorse only one candidate for membership in any club year.

2.    New members shall be required to serve on at least one committee and support the annual fundraiser financially and by active participation.  The sponsor shall bring the new member to orientation and shall be responsible for new member involvement throughout the year.

3.   Names of candidates may be placed on a waiting list if active membership is at the limit.

4.   Other questions concerning membership shall be at the discretion of the Board.

ARTICLE IV – Officers

1.   The officers shall be President, First Vice-President, Second Vice- President, Recording Secretary, Corresponding Secretary, Treasurer and Assistant Treasurer.

2.   They shall be elected for a term of one year at the March meeting and installed at the May meeting.  No officer shall serve in the same office for more than two consecutive terms.

ARTICLE V - Executive Board

1.   The Executive Board shall consist of the elected officers and standing committee chairmen.  Special committee chairmen shall attend when their presence is required. One fourth of the Board membership shall constitute a quorum.

 2.   A vacancy in any office shall be filled by the Executive Board.  The person so appointed shall serve for the unexpired term of such office.

3.   There shall be at least six meetings a year of the Executive Board; special meetings may be called at the discretion of the President.

ARTICLE VI – Meetings

1.   The Club shall meet at the clubhouse or a designated site on the second Thursday of each month, except during the months of June, July, and August.  Special meetings and any  changes shall be left to the discretion of the Board.

2.   One fourth of the active membership shall constitute a quorum.

ARTICLE VII – Dues

1.   Dues shall be payable annually by the April meeting

Dues for associate members shall be $10.00 more than for Active members.

 2.   If dues remain unpaid on May 1st, a final notice, so marked shall be sent. If dues still remain unpaid 30 days after said notice is mailed, the membership shall automatically be terminated and such names shall not appear in the yearbook. Upon the showing of extenuating circumstances, the Executive Board may order such membership restored.

 3.   Club Life members shall be required to pay dues equal to one-half the amount of active member dues.

 ARTICLE VIII – Committees

 1.   A Nominating Committee of three persons shall be appointed by the President no later than the January meeting.  No person shall serve on the Nominating Committee for more than two consecutive years.

 2.      Committees, standing or special, shall be appointed by the President as needed.

 3.   Annual reports from the chairmen shall be in the hands of the President on or before April 1st.

 ARTICLE IX - Resignations and Reinstatements

 1.    Resignations shall be in writing and sent to the Membership Chairman.

 2.   A member having resigned in good standing may be reinstated by vote of the Executive Board upon payment of the current year’s dues, provided the Club has not reached its maximum membership.

 ARTICLE X - Amendments

 1.   These By-Laws may be amended at any regular meeting by a majority vote of those present, provided that notice of the proposed amendment shall have been given at the previous regular meeting or sent in writing to all members prior to the meeting at which it is to be voted upon. 

2.   One fourth of the active membership shall constitute a quorum.


(back to top)                Standing Rules

I.  Duties of Officers

A. The PRESIDENT shall preside at all meetings of the Club and perform the usual duties of that office.  She shall be an ex-officio member of all committees except the Nominating Committee.

B. The FIRST VICE PRESIDENT shall assist the President and perform all duties in her absence.  She will represent the Club at St. Simons Island Council of Garden Clubs meetings. 

C. The SECOND VICE PRESIDENT shall be responsible for programs at all meetings.

D. The RECORDING SECRETARY shall keep accurate records of all Club and Executive Board meetings and provide copies of the minutes to the President and the Historian.

E. The CORRESPONDING SECRETARY shall conduct the correspondence and send out all notices of Club activities. She shall keep the membership list in order by consulting with the Treasurer and the Membership Chairman.

F.  The TREASURER shall be the custodian of Club funds and make a financial report at all General and Executive Board meetings. She shall make a yearly report to be audited by a qualified member selected by the Executive Board.  She shall send bills for dues by April, notify new members of their dues, alert those in arrears when necessary and pay all Club bills. She shall be authorized to pay bills up to $500 without Board approval. The Club fiscal year begins September 1st and ends August 31st. 

She shall serve over the Finance Committee. The Finance Committee shall be composed of Incoming and Outgoing Presidents, Treasurers, and Assistant Treasurers, plus one Member-At-Large. This committee shall be responsible for preparing a yearly budget to be presented at the September Board meeting.

G. The ASSISTANT TREASURER shall assist the Treasurer in the performance of her duties.

 II.   Committees

There shall be the following Standing and Special Committees and such others as needed to carry out the work of the Club. The Chairman of each committee shall be appointed by the President; committee members shall be selected by the Committee Chairman.

 A. Standing Committees

 1. The AWARDS Chairman shall obtain available lists of awards from the state garden club.  She shall keep the Executive Board advised of all awards and when so directed take the necessary steps in applying for them.

 

 2. The CASSINA GARDENS Chairman shall be in charge of the gardens.  She shall have the help of the members for regular garden work or any special project.  She will also coordinate the garden responsibilities of new members.

 

At the death of a club member she shall plant either a Gerbing (white) or Tabor (pink) azalea in the Memorial Garden in that member’s memory.

 

 3. The COMMUNITY RELATIONS Chairman will keep the Club informed of community needs and make recommendations regarding how the Club may be of assistance.

 

4.   The COOKBOOK Chairman is responsible for the Club cookbook, Coastal Cookery, including its distribution and finances.

 

5.   The DOCENT Chairman and her assistants are responsible for opening the cabins to the public and for special tours.  They are also responsible for training the docents, arranging special programs, securing informational materials, etc. They will keep a record of all items sold during the opening of the cabins.

 

6.   The HORTICULTURE Chairman shall advise members of any interesting or timely horticultural item.

 

7.   The LONG RANGE PLANNING Committee shall be responsible for creating a long range plan for the club and should keep appropriate records.  Any major change must have the approval of the club’s Board and membership.

 

8.  The MEMBERSHIP Chairman shall receive all proposals for membership and all resignations.  She and her committee shall review all applications before they are brought before the Executive Board for action; she shall notify each new member of her acceptance.  She shall keep a record of attendance of meetings and contact any members with extended absences.  She is also responsible for nametags and the orientation of new members.

 

9.  The NEWSLETTER Chairman and her committee are responsible for writing and producing the monthly newsletter in formats suitable for distribution to members.

 

10. The PARLIAMENTARIAN shall advise the President and Executive Board on points of order.

 

11.  The PRESERVATION & COMMUNITY OUTREACH Committee shall make recommendations to preserve and beautify the Tabby Cabins and surrounding grounds and contribute to community projects through the disbursement of funds accrued through Club fundraising efforts.

 

12.  The PUBLICITY Chairman shall release to the press reports of meetings, events and any other items of interest concerning the Club and its members.

 

13.   The Web Site Chairman shall be responsible for monitoring, improving and regularly updating Cassina’s website.


B.   Special Committees

 

1.  The CABIN MAINTENANCE Chairman and her assistants are responsible for the condition of the clubhouses.  She is to obtain needed helpers for any special events at the clubhouses and will arrange for 3 workdays during the year.

 

2.  The CALENDAR Chairman shall be in charge of ordering and the sale of the State Garden Club Calendars.

 

3.  The CHAPLAIN (Garden Grace) shall give an appropriate devotional at each meeting.

 

4. The CHRISTMAS TOUR Chairman shall be in charge of all aspects of the annual Christmas Tour of Homes.

 

5.   The FIELD TRIP/WORKSHOP Chairman shall be responsible for planning special trips and workshops for the members.

 

6. The Representative to the GARDEN COUNCIL shall attend the St. Simons Island Council of Garden Clubs meetings.  She will keep the membership informed of all council activities.

 

7.   The GARDEN WALK Chairman shall be in charge of all aspects of the annual Tabby & Tillandsia Garden Walk.

 

8.   The GROUNDS MAINTENANCE Chairman shall be in charge of the grounds and anyone employed by the Club regarding the grounds.

 

9.   The HALLOWEEN HAPPENING Chairman shall be responsible for all aspects of the October event for local children.

 

10.   The HISTORIAN shall keep a record of the activities of the club. 

 

11.   The HISTORIC PRESERVATION and ACQUISITIONS Chairman shall act as history consultant on any changes or purchases made for the cabins and on any projects dealing with historic aspects of the grounds.  Historic changes, acquisitions and purchases require Board approval.

 

12.   The HOSPITALITY Chairman shall arrange for hostesses to provide flowers and refreshments at each meeting. She is in charge of all other special social occasions as directed by the President.

 

13.  The MEMBER CONCERNS Chairman shall send appropriate notes to members with special needs.

 

14.   The NEWS LIBRARIAN shall keep a chronological file of print material highlighting or featuring Club activities.

 

15.   The NOMINATING COMMITTEE, composed of three members, shall be appointed by the President no later than the January Club meeting.  The report will be made to the membership at the March Club meeting.

 

16. The PHOTOGRAPHER shall take appropriate pictures of  Cassina functions.

 

 17The PRODUCT/SALES INVENTORY Chairman is to maintain inventory for sale at the Cabins and on the website.

 

18.  The TELEPHONE Committee Chairman shall appoint a committee to assist in contacting members when necessary.

 

19.  The YEARBOOK Chairman shall be responsible for the preparation, printing and distribution of the yearbook to all the members.

III.   Application for Membership

Acceptance of new members will be in order of application as vacancies occur in the Club with the following exceptions.  See Application and Approval of Members in By-Laws and follow current version of Sponsor Guidelines.

A.   If a prospective member has chaired a committee or served as a docent or committee member for Club annual fundraisers, this participation satisfies her attendance requirement for one meeting, but not two meetings.

B.   Request for deferral from accepted prospective member:  Prospective member is moved to top of waiting list for the following year only and is encouraged to participate in Club activities as much as possible.  During the deferral year, her sponsor  should maintain contact with the prospective member.  However, only one year of deferred status  is permitted,  after which she must reapply for membership and again meet the normal requirements.

C.   Any member who resigned because she was leaving the area can, upon return to the community, request reinstatement to the Club. Her request will take priority over the existing new member application list provided she resigned in good standing and makes this request to the Cassina Garden Club Board within six months of her return.

D.   Any member who resigned in good standing due to special circumstances prior to her establishing eligibility for associate membership category, will take priority over the new member applications list if her request is approved by the Board.

E.    Any former member who desires to affiliate with the Club and does not fall in either of the above categories must follow the procedure for new members.

F.    An associate member may request return to active status.  In the event of competing requests to return to active status, the initial year of admission to the garden club will determine priority.

G.   Other questions concerning membership shall be at the discretion of the Board.

IV.   Membership Guidelines

        Active members are generally expected to:

 

A.   Serve actively on at least one committee,

 

B.   Attend at least five monthly meetings,

C.  Occasionally attend docent presentations at the cabins to remain familiar with cabin history.  (New members are expected to attend at least two such presentations.)

D.   Participate at least two times in garden work at the cabins on     scheduled workdays or on Saturday mornings.

E.  Participate in and financially support the Club’s annual fundraising projects.

V.   Membership Review

A.   The membership of the Club will be reviewed annually by the Membership Committee appointed by the President. The Membership Chairman will provide a report at the February Board meeting.  The Committee will notify any member who has not fulfilled her obligation to the Club.

B.   Any member who upon review has been found to miss consistently garden club meetings or has failed to participate actively in club committee work and fund raising activities, will have her membership revoked. 

C.   The option of switching to associate membership will be available if the member had been in good standing and previously participated actively for at least three years.

VI.  Rules

A.   The rules contained in Robert’s Rule of Order Revised shall govern in all cases where they are applicable and not inconsistent with the Club By-Laws.

B.   The Standing Rules may be amended by a two-thirds vote of the Executive Board.
